These Terms and Conditions (“Terms”) govern the provision of Basic App Security Auditing Services (“Services”) offered by We Are Iconic Ltd, trading as Iconic Futr (“Iconic Futr,” “we,” “us,” “our”) to the client (“Client,” “you,” “your”). By engaging us for the Services, you agree to these Terms. If you do not agree, do not proceed with our Services.

2. Scope of Services
- Iconic Futr provides Basic App Security Auditing Services to evaluate and identify potential vulnerabilities in the Client’s application (“App”).
- The Services include testing methodologies and tools commonly used for security assessment purposes.
- A detailed report of findings and recommendations will be provided upon completion of the audit.
3. Client Responsibilities and Acknowledgments
By engaging our Services, the Client confirms and agrees to the following:
- Authorization: The Client represents and warrants that they have full ownership of, or explicit authorization to audit, the App and its related systems.
- Access: The Client agrees to provide all necessary access, credentials, and permissions required to perform the security audit.
- Legal Compliance: The Client ensures that engaging Iconic Futr to perform the Services does not violate any applicable laws, regulations, or third-party agreements.
- Third-Party Software: If third-party systems or integrations are included in the scope, the Client confirms that they have the necessary permissions to allow auditing of these systems.
4. Limitations of Services
- The audit provided is limited to the scope agreed upon with the Client and does not guarantee the detection of all vulnerabilities or security flaws.
- Iconic Futr is not responsible for implementing the recommended fixes or for any actions taken by the Client based on the audit report.
- The audit is not a substitute for ongoing security practices or compliance certifications.
5. Confidentiality
- Both parties agree to keep confidential any sensitive data, findings, or proprietary information disclosed or discovered during the provision of Services.
- Iconic Futr will only use the information provided by the Client for the purposes of the security audit and will not disclose it to third parties without prior consent unless required by law.
6. Indemnification
The Client agrees to indemnify, defend, and hold harmless Iconic Futr, its employees, and agents from any claims, liabilities, or damages arising out of:
- Unauthorized access or actions taken during the audit due to false representations by the Client.
- Any issues caused by implementing or failing to implement recommendations provided in the audit report.
7. Limitation of Liability
- To the maximum extent permitted by law, Iconic Futr’s liability for any claims arising from or related to the Services is limited to the fees paid by the Client for the audit.
- Iconic Futr is not liable for any indirect, incidental, or consequential damages, including data loss, system downtime, or reputational harm.
8. Payment Terms
- The fees for the Services will be agreed upon prior to commencing the audit and must be paid in full, unless otherwise approved.
- Non-payment may result in the withholding of the audit report or suspension of Services.
9. Termination
- Either party may terminate the agreement with written notice if the other party breaches these Terms.
- Upon termination, the Client is responsible for paying for any Services rendered up to the termination date.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
